It did look like we had regressed back to Dunc's style. Devine eventually made up for his error for their goal with a superb volley to Bray. Quite sad to see Billy struggling to hit the net which is perhaps why Dunc realised in training he no longer had the pace or guile up front. A poor performance but in the end a critical point. Brennan looked impressive.

Just hope we do not get carried away with assuming we will get positive results. Drawing games may still be important against most teams in this league. However, after the cuffing by Arbroath, who now look like favourites to win the league, let's hope we show respect for Kelty and grind out a good result. Will be interesting to try and spot Morrison and Gardiner cheering the team on!!

The accounts for 30 May 2024 are due at Companies House by 28 February 2025, Confirmation statement by 3 March 2025. I expect the Administrators to meet these deadlines. They seem to have kept a very tight lid on what is happening which is re-assuring in my mind. -

Not with Duncan Ferguson in charge. Remember that players in the era were discouraged from shooting on goal and shortly after getting over the half way line were instructed to keep it and gradually work it back to the goalkeeper.

Incredibly good result. I said Billy would score....the law of averages really but that will perk him up. Enjoy fish and chips on the way home and then prepare for QOS. Let's hope they are knackered after the St Mirren game.

On the bright side Billy has had an extra week of rest. With Alfie up to help him my money today is on Billy scoring - for us. This is an absolutely crucial game today for us.

Let's imagine RM is two people. His loyalty as a Director is 100% to the football club company. The Administrator will check that he was compliant in that respect because if he was not, and ran up debts of say nearly £4m whilst claiming his company was solvent, is quite serious and can lead to disqualification. This would have serious consequences for him. The Administrator will want to satisfy himself that this was the case. Given that the other RM was on the other side is potentially difficult to defend. Now lets look at the other RM and check why he acted the way he did. Given that he was a Director and Chairperson of the football club Company what legitimate argument can he put up that shows his negotiations with the first RM was fair and equitable and did not put the Going Concern position at serious risk ? -

Charles according to Companies House, and I have no reason to doubt them, Cameron ceased to be a Director of the FC Company IN 2022. As I indicated earlier in this thread, that meant he was a Private individual in the transaction and similarly so in the Battery Farm Company. My money is on the Administrator knowing the Companies Acts better than RM. Just weigh this up: The Companies Act 2006 codified certain common law and equitable duties of directors for the first time. The act sets out the general duties of directors, which are: to act within powers in accordance with the company’s constitution and to use those powers only for the purposes for which they were conferred to promote the success of the company for the benefit of its members to exercise independent judgement to exercise reasonable care, skill and diligence to avoid conflicts of interest not to accept benefits from third parties to declare an interest in a proposed transaction or arrangement -

Curiously enough at the final whistle of the Cove game I wondered if Billy might drop himself for the first half against Dumbarton, and give Ethan the nod first half.

By definition there was an offer and acceptance with the transaction so some form of contract. So did Ross Morrison, as a newly appointed Director of Inverness Caledonian Thistle Properties Limited, act in his capacity as a private individual, like Cameron at the transaction date, or did he act as Chairman of the football company? Given that the Company was using the football company address as its registered office he clearly needed the Club's permission. The articles and memorandum date back to 2001 but surely the football club company needed to be involved in what was happening? Somebody else would have needed to take the chair when this was considered because Morrison could not be on both sides? -

This will focus minds over Xmas. https://www.gov.uk/company-director-disqualification James Stephen is required to report on that issue based on his findings. Some context. 28 February, 2023 and a very optimistic set of accounts. 'Notwithstanding the material uncertainty regarding income sources, the directors are satisfied that the company will be able to realise its assets and discharge its liabilities in the normal course of business.' The floating charge was then created on 21st December 2023. The next set of accounts that were made up to 30 May 2023 were delivered on 3 July 2024 and concluded 'Notwithstanding the material uncertainties described above, the directors consider it appropriate to continue to prepare the financial statements on a going concern basis.' Less than 4 months later on 24 October 2024 the company collapsed into administration.
