Thanks for the helpful response. The key thing here is that the vast majority of the debt is owed to 3 men who, until very recently, were Directors of the club and who, we have always been told, have been fans of the club since it was founded. The club has little in the way of cash or assets, so if the club does go into administration, there is no way they are going to get their money back except in the very unlikely event of a buyer coming in who is prepared to pay off the loans. If we get liquidated then they get nothing. On the face of it, they should accept that reality and, in the interests of the club they claim to support, write off the loans and free up the club from that debt Where it gets interesting is the assets they have control of. The three of them own the shares in ICT Battery Storage Ltd with Morrison and Cameron being the Directors. That would suggest that potential proceeds from the BESS are protected from the administrator or a 3rd party buyer and could be fed back into the club at the discretion of the 3 of them at some point in the future. However, the Companies House records list the Club as a "person with significant control" with the right to remove or appoint directors, to have 75%+ voting right and to have 75%+ of shares. So if we go into administration, I wonder if the administrators would have the power to take back control and effectively include the Battery company as an asset of the club? Morrison and Munro are also the sole Directors of Inverness Caledonian Thistle Properties Ltd. This owns the leases for the ground around the stadium. There is no club control noted for this and therefore this land is presumably completely outwith the reach of the administrators. In addition, Morrison holds a charge against the Club at Companies House, which involves "Floating charge over all its property, undertaking, assets (including uncalled capital) and rights owned now or in the future." There is also a 2nd charge involving Munro as well. So, what are the implications of this? If administration looms, does this mean Morrison can say he wants his loan repaid now, and when the club says it can't pay, he enforces the charge and all the assets of the club pass to him? He and his 2 colleagues then write off the loans, pay off Gardiner and the club is debt free but Morrison, Cameron and Munro own everything between them. It seems to me that Morrison has the power both to completely asset strip the club for his own future profit or to protect the club from the administrators and the assets being sold on the cheap to a third party. If the intention of Morrison, Munro and Cameron is to protect the club from the administrators, then surely the time to write off all or most of the debt is now! If most of the debt was cleared, then the focus of the club going forward could concentrate on the steps required to balance the books and we would be a far more attractive proposition for any potential credible buyer. This is all speculation on my part, but I do think it is important that we can get an expert opinion of how the complications of Morrison's Charges and the two related companies impact on the Club's current situation and on the situation should we go into administration. Clarity would help people make a decision on whether they want to contribute to crowdfunding, and if so, how much they want to contribute.7 points

Alan Hercher was the hat-trick hero as Caley Thistle got their League campaign off to a flying start. Three first half goals by Hercher set the scene for a dramatic opening League 3 encounter. In the opening minutes Caley Thistle 'keeper Mark McRitchie had to look sharp to save a 15 yard drive from John Reilly. In 13 minutes Mark McAllister won a corner and Alan Hercher headed in Graeme Bennett's kick to score Caley Thistle's first ever Scottish League goal. It was not long before he also scored the second and third! Before that Arbroath came close on two occasions -the first when a John Brock header went inches past the post and the second when a 25 yard free kick almost found the net. John Scott and Mike Andrew had chances for the home side before Alan Hercher again wrote his name into the record books. In 31 minutes he shot home his second goal through a ruck of players then headed home another corner in 33 minutes. Half Time: 3-0 In the second half Arbroath came back into it and scored through Brock and Reilly - Caley Thistle bounced back and scored twice more. In 71 minutes Paul McKenzie latched onto a long McRitchie clearance and lobbed over the keeper then Wilson Robertson completed the scoring six minutes later with a high ball from 22 yards. Full Time: 5-2 This rounded off an exciting match and an historic occasion for both the club and Inverness. ##################################### Season so Far INVERNESS CT: D L D D W D D D Our season got off to a slow start with a draw at home to Dumbarton followed by a penalty defeat at Annan. Another two draws against Montrose (h) and Kelty Hearts (a) before our first win of the season over Queen of the South at the Caledonian Stadium. We beat Stirling Albion 3-0 to send us into a fourth Rnd tie away to Livingston thanks to a brace from Adam Brooks and a strike from Adam MacKinnon. That was followed up by us throwing away a two goal lead at Alloa to end up with a 2-2 draw six minutes later. A Danny Devine volley and Calum MacLeod with his first goal for the club were the scorers at Recreation Park. Last time out we had a disappointing 1-1 draw at home against Cove Rangers who opened the scoring through Adam Emslie. James Nolan on loan from Manchester United's youth squad levelled the game before the hour. Next up was a home game against Stenhousemuir. Quite frankly this was a dull game with neither side able to score although Musa Dibaga did make a wonderful penalty save in the first half. ARBROATH FC: L D L D D L W W Arbroath were propping up the League at the start of the season but have slowly lifted themselves up to mid-table with wins in their last two games over Annan at home and Cove Rangers away. Their three defeats came from Stenhousemuir (2-1) on day one, Kelty Hearts (0-3) on day three and Queen of the South (2-1) on Matchday six. The draws came against Montrose, Dumbarton and Alloa in that order. They also dumped Montrose out of the Challenge Cup with a resounding 3-0 win at Gayfield There's nothing to separate the sides on the park, but will the off-field struggles affect the players. Ali Spalding and Jack Wilkie were the scorers Ryan Dow is top scorer with three League goals. Scott Stewart has bagged two. Arbroath have scored 10 goals in the League but have conceded 11. In contrast, we have only conceded 6 but have only scored 6. Something is going to give. INVERNESS Flynn Duffy and Lewis Nicolson definitely out and no news of Ethan Cairns. Charlie Reilly will manifest at Arbroath. He made five appearances for them last season so will know his way to the stadium. Wonderful gesture by Duncan Ferguson to do the job for nothing at the moment to help our plight. Some might say that's what he is worth, however hats off to him for doing it.3 points

I am only 1 person with a very limited reach of social media but I've tweeted/messaged various people/radio stations to see if they are going to talk about the plight of ICT and give the go fund me page some coverage. If others can do that as well it can only help our cause. I doubt anyone on the board are trying to spread word far and wide to all the media outlets to get word out there so I fear it's down to us fans to spread the word3 points

I'd really like to know AS's true views. Is he coming in to buy the club going into administration? Then I'd be happy with that, never mind the points deduction. I'd be far happier to put in money to re-start the club, rather than paying off rich men who mismanaged the club to a ludicrous extent. Or is that not part of AS's plan? Will we instead be going down the route of Clydebank. And I totally understand why AS cannot say3 points

It is the 3 remaining Directors who are making the decisions. Savage has just been a Consultant and now that he has reported to the Board, I'm not at all clear what his role is, or even if he still has one. This latest news is simply bizarre. Given how dismissive Savage was of Makwana's approach and of the Board seriously considering his offer, it beggars belief that the Board has re-opened discussions. And this on the say so of the former chairman whose catastrophic record of poor decision making has led us to this sorry state. Savage must be tearing his hair out. I can't see Makwana having the funds to bail the club out and take the club forward, so I wonder if they are now having discussions about Makwana being a post administration buyer? It is strange that this news should break on the same day that Panos Thomas suddenly quits as a Director as it has echoes of Thomas and another dubious "money man" at Watford a few years back. Is Thomas going to suddenly reappear at Makwana's side as a potential buyer post administration? That is pure speculation on my part. I really don't have a clue what is going on now. What I can be sure of is that there will be a lot of discussions going on behind closed doors involving people with a lot more money than I have. I think we have to expect the unexpected.3 points

At long last Big Dunc is proving his worth. A quick scan down the GoFundMe thing reveals quite a few donations from Everton fans (Thank you Everton fans!) thanks to Ferguson's previous association with the club. Just wish he could coax a win out of a team of fairly decent players though. Nevertheless, his very presence here is, for once, pulling in more pounds than he's costing the club!2 points

It would be good if at the meeting on Monday if someone could ask what this 200k is actually for. Is it wages, bills , puma contract, legal fees , administrators fees, paying off directors loans ?????? People so far seem to be putting some cash in, but how will it be spent? Also if the target is not raised and admin does happen, do contributors get their money back or do administrators get it? Hope this get clarified before I decide if I can afford to give something.2 points

Well done Dunc. Not the first time. When we were getting to the business end of last season the club couldn’t afford overnight accommodation for the team on an away game. guess who paid for it out of his own pocket.2 points

I hope somebody from the Supporters Trust has got a ticket because they've got all the questions! I'm sure they will get in regardless, but seriously, if people who want to go aren't able to, please make sure you get your questions into the Trust ASAP to give them time to collate them before the meeting. I won't be there due to a prior commitment but I have submitted some questions to the Trust.1 point

I would hope there was some system to prevent buckie-swillers like the above from snapping them up, e.g tickets only available to supporters with a connection to ICT (season ticket holders, share holders, match ticket purchaser database for example)1 point

Under section 245 of the Insolvency Act, a floating charge granted by the chargor (company) in favour of a “connected person” (a director of the company) is invalid to the extent that (i) it is granted where no consideration for it is received at the time or subsequently and (ii) the company is the subject of insolvency proceedings in the following two years. So, if Morrison had already loaned sums to Caley and only subsequently took security via this floating charge in December 2023, it would be invalid to that extent. if, however, he did legitimately lend a sum to Caley and Caley granted security at the same time, then it would be valid. Or if he granted security first and then advanced sums. If not repaid, Morrison could look to enforce charge, and administrator would check its validity. Of course there does seem to be conflicts of interest all over these transactions. Were the directors acting for the benefit of the shareholders as a whole, per their statutory duty? If not, then such transactions could be challenged on that basis.1 point

There's a lot of things that appear quite contradictory. Lots of questions but very few answers. At the moment there would appear to be an obvious way to wipe out most of the debt but no solution to how we attract new money to invest in going forward. Maybe Morrison has been informed than Makwana now has proof of a significant source of funding? For all his faults and poor decision making, I do think Morrison genuinely wants the club to thrive. Morrison is not on the Board now, so shouldn't be involved in any of the negotiations involving Makwana.1 point

Well done. There is a big opportunity to reach out to the wider football community, where there are a lot of people who don’t want to see any club go under, and who might have a soft spot for us. Fans of Everton/BigDunc for example. Hearts fans also seem grateful to us for being one of the only clubs to argue against their relegation. And then if you can reach North Americans whose ancestry can be traced back to the Highlands, we’ll be rich!1 point

The meeting needs to be about looking forward. In order to do that properly we need to understand the process and consequences of Administration and of struggling on to try and avoid Administration. How, for example, would the administrators deal the outstanding loan debt? What I am sure we would all agree on is that we do not want the club to be liquidated. I certainly don't like the idea of Administration either, but other clubs have been through the process and have fully recovered within a few years. I wonder therefore whether desperate efforts to avoid administration will only delay the inevitable and could do more harm than good. I worry that in order to avoid administration, the Board could look to sell the Club off to some unscrupulous buyer whose long term aim has nothing to do with football but everything to do with the potential development value of the site. Sadly, I have more confidence in the Administrators to sell the club to an appropriate buyer than I do in our own Board. If we raise the £200,000 what happens. next month? To reduce the difference between income and expenditure, the Board would need to make some of the cuts the administrators would do in any case. We would still need to find significant sums in donations every month until we could be in a position where there was a balance between income and expenditure. It would be hard and none of that touches the massive debt the club has. How long could we survive like that unless former Directors write off their loans? Would administration be worse? It would be brutal at first with redundancies coming quicker, but presumably it would allow recovery to start quicker and make the club a more attractive proposition for more appropriate buyers?1 point

I may not be the biggest fan of most on here (god knows why ) but I want to know why doesn't Alan Savage just put the club up for sale in order to get the desired response from interested parties etc or is it a lot more complex than "just putting the club up for sale"? No we don't actually pay £125K per year for anything as a fee, it's a commitment. We have committed to spending a minimum of that amount on merchandise each year for three years. Typically, that means you should get a better discount or lower unit pricing if you are willing to commit to a multi-year deal, and therefore more profit when you sell it, but who knows what this particular deal has in the details.1 point

You’re right, I have never played the game. I work in the NHS. I think the travel time to Ayr is under 4 hrs. In the D&E coach the club use with cooking facilities, tables, reclining seats,toilet etc, hardly a hardship. Pre match meal, play the game , back up the road with food on the coach. Not exactly a hard shift. Doesn’t seem to enhance their performance, regardless who is paying!1 point

You have obviously never played the game. Try sitting on a bus to say Ayr, for over 4 hours and then play. When we were in the top league most of the away teams stayed in the kingmills the night before. I play golf and our 10th green is a couple of yards from the hotel. I have spoken to jim Goodwin on the Saturday when the players go out to stretch their legs. Dunfermline players standing across the burn watching us putt. Celtic coaches and players walking past the tee. Etc, etc Why is it an unnecessary expense when dunc payed for it.1 point

The scary thing about the statement is it suggests the problem was us not them ... so it seems they still see it as a legitimate offer!!! The statement reads "We did seriously consider an approach from 77 Ventures (Ketan Makwana), on which there has been much public comment. However, we suspended these discussions when it became clear that the gap between buyer expectations and seller ability to deliver was unlikely ever to be bridged." Seriously? Should that not be reversed? This was at the satrt of the statement and set the tone for the rest of the drivel contained therein. Judging by the statement they would take it!1 point

It was never dull when he played However MOTD makes the PremierLeague games look like cliffhangers. I’ve been to a good few where nothing much happened. Tactically and technically it may be on a different planet from what we watch but that doesn’t make it entertaining. Neither do the huge crowds always mean a good atmosphere. The problem is specifically with ICT. Duncball would make your eyes bleed. OK we were all spoiled watching Pele’s teams but It doesn’t have to be this way. Just on another tack, I recently saw extended highlights of Celtic v Inter from 1967. Regarded as a massively entertaining game but in many respects the standard was shocking compared to nowadays. Loads of unforced errors and missed sitters. I also watched the whole of England 2 Scotland 3 recently. What a contrast. Both sides were allowed to carry the ball in space in the middle of the park but about 30 yards out the (brutal) tackles flew in. I think the trainers were on the pitch 6 times in the first half alone, but the players just got up and got on with it. Also a distinct lack of shepherding it out for a bye kick, they just tried to play it. Never noticed any gobbing either1 point

I think it’s the way it works, managers build a team from back to front. dunc tried to get bavidge from Aberdeen , last week he tried ? to get the striker from Motherwell but he went elsewhere. I am sure behind the scenes he has been and still is trying. Every team on the planet is looking for a goal scorer, they are gold dust. RC have got a cracker from Northern Ireland league, Ronan Hale. So they are out there, but you need cash to get one. Unfortunately we shop in the bargain basement if we have a few coppers to spend. read DD post on yesterdays game, save me typing. i still don’t think we have the players that can create chanceees for the striker. Most of our attacking yesterday came from longstaff. A couple of north stand boo boys were onto him early on, but he persevered. Unfortunately he would go up to the full back, refuse the cross with his right foot, turn back onto his left and lay the ball off. By that time the big Stenny players had flooded the box. Not a chance of hitting billy or brooks. mackinnon designated free kick taker first half. All our defenders up for the crosses. High floaters into the box. The GK caught a couple he could, food and drink to him. Another couple sailed over everyone’s head for a goal kick. we could sign harry kane tomorrow but how are we going to get the ball to him. ps…. I would have played a proper left back yesterday, strachan if he was fit, and played Nolan wide left. Attack stenny from both sides. but I don’t know the fitness state of the squad so won’t criticise Dunc for not doing it. not rubbing it in, just showing what’s out there. As you stated earlier the talks with Makwana were suspended and is AS going through the motions doing the due diligence that might not have been carried out before such as proof of funds? If he hasn't got the funds which many of us think is the case it would show our board members and CEO had not done their job. Is that why "pants" has suddenly resigned?0 points

Who is running the club just now. Morrison chucked it weeks ago. panos ( predictive text comes up as pants) has done the same this evening, morrison reintroduces makwana and savage..... Savage, speaking exclusively to the Press and Journal, revealed Makwana is back in talks with the club. Savage said: “Ross Morrison on Tuesday has reintroduced Ketan Makwana to the process. “He suggested that Panos contacted him, which he did. The board are now in the process of asking the lawyers for proof of funds as the first hurdle. Proper due diligence will follow. Scott Young will be dealing with that.”0 points
